It should be specified that “CPI PROPERTY GROUP S.A.” holds a total of 17,573,318 shares, representing 79.79% of the share capital, of which 6,561,263 are listed ordinary shares and 11,012,055 are unlisted Category B shares.

With reference to the Category B Shares, these grant the same rights as ordinary shares, except as follows:

• they do not confer the right to attend or vote at the Company’s ordinary shareholders’ meeting, nor the right to request that such meeting be convened;

• they grant the same right to participate in profits as ordinary shares; however, such right shall be automatically and proportionally reduced to the extent necessary to ensure that the profit participation right of each shareholder holding Category B Shares, taking into account any other ordinary shares that may be held, is equal to – and in any event does not exceed – 60% of the Company’s total profit participation rights.
